Based upon the facts presented above Shania does not seem to have very many business goals besides that she would like to start a Christian coffee shop in Denver Colorado and is thinking of naming the shop “The Gathering Place”. In addition, she is considering the possibility of allowing either her husband, sister, or neighbor to be a part of the business in some form or fashion whether that is as an investor or as an employee. In my opinion, I think that she should allow Marvin her husband to make a contribution of capital to her business as an investor and partner in which I will discuss later in the discussion thread. With this being in mind, the best option for her to choose for the business entity would be a limited partnership. According to Reference for Businesses, “In a limited partnership, one or more partners are general partners, and one or more are limited partners. General partners are personally liable for the business’s debts and judgments against the business; they can also be directly involved in the management. Limited partners are essentially investors (silent partners, so to speak) who do not participate in the company’s management and who are also not liable beyond their investment in the business. State laws determine how involved limited partners can be in the day-to-day business of the firm without jeopardizing their limited liability. This business form is especially attractive to real estate investors, who benefit from the tax incentives available to limited partners, such as being able to write off depreciating values” (reference for business, n.d.). A limited partnership would ultimately be the best option for Shania being that she would be able to have a private investor be able to put equity into the business without giving up any control over the day-to-day operations. In addition to having an investor if she decided she would like to have either her sister or neighbor be employees for the coffee shop that is still a possibility with a limited partnership.
After looking up the name it does seem to be in use by a church ministry in the Denver area. With that being said I was not able to figure out whether or not it was trademarked by any organization. If the name was available and she decided to use the name I think that is a very cool and unique name for a Christian coffee shop. According to an article by Business News Daily, “A good name should be short – two to four – syllables and easy to pronounce. Warren Diggles, president and creative director of Diggles Creative, said short names are ideal, because they tend to be very brandable and easy for consumers to remember. While your name can include new or existing words, there are pros and cons with each option. Invented words – think Exxon – reduce the risk of confusion with competitors, but it can take a lot of time and marketing before your meaning is established with customers” (Business News Daily, 20) Though I think that the original name Shania picked is a great name I do agree with the point made in the reference that short catchy names are ideal and make it easy for customers to remember. I think that a name like HeBrews is a funny and clever name that ties the book of Hebrews in the bible along with the word brews referring to the brewing of coffee. Another name that could be a good option is Jehovah Java it is another comical and clever name that sounds like the biblical name Jehova Jireh but adds the word Java in place of Jireh being that Java is another word for coffee. These names are both shorter and have funny connotations as opposed to the name the gathering place.
Based upon the choices between Shania’s husband, sister, and neighbor. I would recommend that Shania do business with her husband being that he wants to be a silent investor into the company without having any responsibility in its day-to-day operations. I would also add that it could be a good idea for Shania to hire her sister Kelsey as an employee of the shop not only to help get the business up and running but also as an opportunity to surround her in a Christian environment so that she can continue to develop her faith in a positive way. Many people go by the rule that they should keep family and business separate in order to maintain relationships and not risk the possibility of conflict between family members because of issues related to business. I would for the most part agree with this rule but in this specific instance I would say there is an exception. Shania’s husband just wants to be an investor as opposed to a full-time partner which makes the dynamic much different alleviating the possibility for conflict. If Shania trusts her sister than it could be a great thing for both parties but there is always a risk. Shania should not hire her neighbor to be a part of the business because being that this is a Christian coffee shop it would be wise for believers to represent the store. According to Got Questions the text says, “Second Corinthians 6:14 goes on to ask, “What fellowship can light have with darkness?” People are said to be “in fellowship” when they share something. Business partners are united in such a way that they must share things—what belongs to one also belongs to the other. This is precisely what is meant by “fellowship.” With these principles in mind, it is best to avoid uniting with unbelievers in business. If a Christian is truly seeking to honor the Lord through the business, conflict with the unbelieving business partner is unavoidable. “Can two walk together, except they be agreed?” (Amos 3:3 KJV)” (GotQuestions.org, 2009). I agree with the text that it is almost certainly inevitable that when a believer and a non-believer enter into a business partnership together that conflict will arise because of a difference in world view.

Shania Jackson is a mature Christian thinking of opening a Christian coffeehouse near Denver, Colorado. Her husband, Marvin, is open to making a contribution of capital to the business, but he has no interest in participating in its day-to-day operations or management.
Shania’s sister, Kelsey, is a new Christian who has told Shania that she’s been looking for an excuse to get out of the house and would love to be a part of the business. Kelsey’s husband, a non-Christian, opposes his wife’s involvement and has told her that he wants her to remain a stay-at-home mom to their 2 children.
Shania’s neighbor, Carlos, is a non-Christian who has also expressed an interest in participating in the business as a way to earn extra income. Carlos thinks the “Christian thing” has potential with all the big churches in the area, including a Mormon temple and a large Kingdom Hall of Jehovah’s Witnesses.
Shania has considered organizing her business as a sole proprietorship, a partnership of some sort, a small corporation, an LLC, or even a joint venture. She is thinking of calling the business “The Gathering Place.”
